These Trial Terms (the Terms) apply to and govern the Customer’s access to and use of LawVu’s products made available for trial (LawVu Trial) solely to evaluate features and functionality for the Customer’s internal business purposes (the Purpose) during the Trial Period. These Terms form an agreement between the Customer (you) and LawVu (LawVu, we, our or us). If you accept these Terms on behalf of an entity, you represent that you have authority to bind that entity, and “you” includes that entity.
- Acceptance and authority.
By clicking “Accept”, checking a box indicating acceptance, or otherwise accessing or using the LawVu Trial, you agree to be bound by these Terms.
- Trial Period.
14 days from the date you access the LawVu Trial (Trial Period). LawVu may suspend or terminate your access to the LawVu Trial at any time, with or without notice, including where you breach these Terms or where LawVu reasonably determines it is necessary for security, legal, or operational reasons.
- Use rights.
During the Trial Period, LawVu grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the LawVu Trial for the Purpose. The LawVu Trial may be limited in features and is not configured to your requirements.You may allow access to the LawVu Trial only to your employees and contractors.
- Restrictions.
You will not (and will not permit anyone else to): (a) use it to develop or support a competing product or service; (b) bypass or test security, interfere with access controls, or introduce malware; (c) upload or process unlawful, infringing, defamatory, offensive, obscene, or harmful content; (d) publish benchmarks or performance results; or (e) copy, modify, create derivative works of, decompile, disassemble, or reverse engineer the LawVu Trial (except to the extent permitted by non-excludable law). We may suspend or deactivate any user ID and any custom/vanity URLs, links, or domains at any time, with or without notice. Use is subject to fair use for the Purpose, including a 250MB User Data limit.
- Trial data; no support.
You are responsible for all data, content, and communications uploaded to or processed through the LawVu Trial (User Data). We do not monitor User Data. Do not upload confidential, sensitive, or personally identifiable information to the LawVu Trial. The LawVu Trial is provided “as is” and “as available” with no support, service levels, or storage, security, confidentiality, or privacy obligations. You must back up and retain your User Data, and on expiry or termination we have no obligation to export, return, or make available any User Data. We are not responsible for the availability, accuracy, confidentiality, security, appropriateness, or legality of User Data or any information you access through the LawVu Trial.
- Privacy.
We handle personal data (such as names and email addresses) in accordance with our Privacy Policy, which forms part of these Terms.
- Intellectual property.
As between you and LawVu:(a) you own User Data and your branding and trademarks used in connection with the LawVu Trial. You grant LawVu a non-exclusive, worldwide, royalty-free icence to host, copy, transmit, store, analyse, and back up User Data as necessary to provide the LawVu Trial for the Purpose; and (b) LawVu owns all rights in the LawVu Trial, the LawVu platform and services, and all related intellectual property, including features, updates, upgrades, and anything developed or provided by or on behalf of LawVu in connection with the LawVu Trial. Any feedback you provide may be used by LawVu without restriction or obligation. No rights are granted to you other than those expressly set out in these Terms.
- No warranty; limitation of liability.
To the maximum extent permitted by law: (a) the LawVu Trial is provided “as-is” and “as-available” and LawVu excludes all warranties and representations (express or implied), including that the LawVu Trial will be complete, accurate, uninterrupted, secure, or fit for your needs; and (b) LawVu shall not be liable for any indirect, incidental, consequential or special damages, or any loss of profits, revenue, data or goodwill arising out of or in connection with these Terms or the lawVu Trial. LawVu’s total aggregate liability arising out of or in connection with these terms shall not exceed $100.00 USD. Nothing in these Terms limits liability that cannot lawfully be excluded.
- General.
You will comply with applicable export control and sanctions laws and will not export or re-export (directly or indirectly) any data, information, software, or materials relating to the LawVu Trial in violation of those laws. These Terms are the entire agreement between you and LawVu regarding the LawVu Trial and supersede all prior discussions and communications about the LawVu Trial. These Terms are governed by the laws of New Zealand, and each party submits to the exclusive jurisdiction of the New Zealand courts.
